Overview
The Business Liens Report is a KYB enrichment report for businesses in the United States. It searches state Secretary of State (SOS) offices for Uniform Commercial Code (UCC) financing statements and lien filings to help organizations evaluate the existing financial obligations and encumbrances of a business entity.
Organizations commonly use the Business Liens Report to:
- Underwrite commercial credit and business lending: Assess outstanding security interests, prior debt obligations, and encumbered assets before extending loans, lines of credit, or equipment financing.
- Conduct Enhanced Due Diligence (EDD): Deepen KYB reviews for high-risk accounts, business partners, or corporate entities.
- Evaluate vendor and merchant risk: Identify financial distress or heavy asset pledging during merchant onboarding or critical vendor assessments.
What the report checks
The Business Liens Report specifically checks for UCC financing statements filed by creditors with state Secretary of State offices under the Uniform Commercial Code.
When a lender provides financing secured by a business’s assets (such as equipment, inventory, or accounts receivable), the lender files a public financing statement to protect and establish priority for its legal claim (security interest) on that collateral.
Filing types
The report identifies several types of UCC filings:
- Original (
original): The initial UCC-1 financing statement filed by a secured party to record and perfect a security interest against debtor collateral. - Amendment (
amendment): A UCC-3 filing that updates or modifies terms on an active filing, such as changes in party names, addresses, or collateral scope. - Continuation (
continuation): A UCC-3 filing submitted before the statutory expiration of a financing statement (typically five years) to extend the lien; this does not represent a new debt. - Termination (
termination): A UCC-3 filing that extinguishes the security interest once the underlying debt or obligation has been satisfied.
Filing status
Each returned filing indicates whether the filing is currently active on public record:
- Open: The lien is active and enforceable according to the filing registry.
- Closed: The filing has lapsed, reached expiration without continuation, or been formally terminated.
Data returned
The Business Liens Report returns structured records containing filing metadata, involved parties, and categorized collateral.
Filing metadata
- Filing status: Whether the record is open or closed.
- Document type: The classification of the filing (
original,amendment,continuation, ortermination). - Filing and expiration dates: The date the statement was officially recorded, when it is scheduled to expire, and when the record was verified.
- Filing reference numbers: The unique filing identifier assigned by the state filing office, as well as original filing references for associated UCC-3 filings.
- Filing office: The jurisdiction or Secretary of State office where the filing is recorded.
Parties
- Secured parties: The creditors, lenders, or financing institutions holding the security interest, including name and address information.
- Debtors: The business entity pledging the collateral, including recorded legal name and address.
Collateral
The report categorizes pledged assets into structured fields:
- Collateral class: General asset category (e.g., equipment, inventory, consumer goods).
- Collateral type: Specific classification of the covered property.
- Collateral scope type: The breadth of coverage (such as all assets or specific enumerated property).
- Supplemental items: Additional structured attributes identifying covered equipment or assets.
Workflow prerequisites and matching
The Business Liens Report cannot run as a standalone check. It must run within a Persona Workflow following an initial business verification.
Match chain
The report uses a two-stage matching process:
- Business Registry Verification (BRV): The applicant business is verified against state registries using an Enigma KYB-backed BRV step.
- Business match and filing lookup: The Business Liens Report uses the verified business identity and address from the BRV outcome to match a Dun & Bradstreet (D&B) entity record and retrieve all associated UCC event filings for that business.
A passing US Business Registry Verification backed by Enigma KYB is required before running this report. If the BRV step fails, is omitted, or uses an unsupported data source, the Business Liens Report will fail with an error status rather than executing.
In your Workflow configuration, always gate the Business Liens Report step to execute only after the Business Registry Verification has passed.
Key considerations and limitations
Keep the following considerations in mind when incorporating the Business Liens Report into your review process:
- UCC filings only: The report covers only UCC financing statements filed with Secretary of State registries. It does not cover federal or state tax liens, civil judgment liens, mechanic or labor liens, or bankruptcy records.
- Structured collateral categories, not verbatim text: Persona returns structured collateral categories (class, type, scope) rather than the raw, verbatim free-text narrative from the physical UCC-1 filing form.
- No debt or collateral valuation: UCC filings establish legal priority for collateral rather than stating outstanding loan balances or property valuations.
- Chained filings and collateral: Collateral details are often omitted on UCC-3 continuation, amendment, or termination filings. Use the
original-filing-referencefield to trace back to the original UCC-1 filing for complete collateral context. - Interpreting empty results: If a report returns ready with an empty filings array (
ucc-filings: []), this can indicate either that the matched business has no UCC filings on record, or that Persona was unable to match the verified business to a D&B record. Automated workflows should not treat empty results as definitive proof of zero encumbrances without considering residual risk.
